Toledo Edison Terms and Conditions

By receiving service from U.S. Power Supply LLC, the customer agrees to be bound by the terms and conditions as set forth in this Terms and Conditions of Service, effective January 6th, 2025.

Definitions:

  • Residential customer or consumer: Premises at which power is consumed primarily for personal, family, or household use.
  • Commercial and Industrial (C&I) customer: A premises with commercial/industrial service as defined in Toledo Edison’s tariff on file with the PUCO.
  • U.S. Power Supply LLC: A power marketing company. U.S. Power Supply buys power from energy producers and marketers and sells that power to consumers.
  • Toledo Edison: The utility regulated by the PUCO. Toledo Edison distributes power on behalf of U.S. Power Supply and other marketers, maintains the grid, and responds to line issues and other emergencies.
  • Electric Distribution Utility (EDU): Toledo Edison will continue to be responsible for the distribution of power supplied by U.S. Power Supply LLC pursuant to this contract.
  • PUCO: Public Utilities Commission of Ohio.
  • T&Cs: U.S. Power Supply LLC Terms and Conditions of Service as contained in this statement.
  • Default Price Plan: U.S. Power Supply LLC’s current standard variable price plan.

I. Your Toledo Edison Bill

By agreeing to have U.S. Power Supply LLC supply power to you, the format of your Toledo Edison bill will not change, except that U.S. Power Supply LLC will be identified on your statement. The terms and conditions of Toledo Edison’s normal billing practices will remain unchanged.

You authorize U.S. Power Supply LLC to obtain your billing payment and usage history from Toledo Edison. Customers also have the right to request up to 24 months of payment history for service rendered by U.S. Power Supply LLC free of charge.

II. Your Service

II-1. Price Plans

U.S. Power Supply LLC’s price plans fall into two categories: variable and fixed. Some price plans may be offered on a pre-payment basis, with specific terms outlined in a Supplemental Disclosure Statement, which will govern in case of conflict with these terms.

The name of your price plan for the most recent service period will appear on your monthly bill. Additional information is available atwww.USPowerSupply.com or by calling Customer Care at800-494-3480. Unless you choose otherwise, your service will default to theDefault Price Plan based on credit criteria.

A. Variable Plans

Under the variable plan, you will be charged for electricity at market-based prices that may fluctuate based on Toledo Edison market conditions. Prices are not determined by a formula but are based on supply cost, transmission, admin fees, and margin.

The rate per KWH is set on the first day of your meter reading cycle. This plan is month-to-month and does not include applicable taxes or EDU charges, which will be billed separately by the Electric Distribution Utility. You are responsible for all such delivery and applicable charges.No termination fee applies if you cancel at any time.

B. Fixed Plan

Under the fixed plan, electricity is billed at a fixed price per KWH for the entire contract term. While available fixed prices may change at any time, the price used for your service is locked in at the time of your plan selection and will not change during the contract.

Your fixed price is valid for all service periods beginning within the plan term. Other non-KWH charges may change with 25 days’ written notice. Like the variable plan, the fixed rate is based on electricity supply costs, transmission, admin fees, and margin — not a formula.

Fixed Plan Commitment

When selecting a fixed plan, you agree to remain on the plan for its full term, even if you move within the Toledo Edison service area. U.S. Power Supply LLC will send written notice between 45 and 90 calendar days prior to your plan’s expiration. You may request a new fixed plan before the expiration without incurring an early termination fee.

If no action is taken, you will automatically be enrolled in the Default Variable Price Plan that was in effect when your fixed plan began. If you qualify and request a new fixed plan, you’ll receive the current fixed rate, which may differ from your previous one.

You may be assessed an Early Termination Charge (if disclosed) if any of the following occurs more than 45 days before your plan ends:

  • You switch to a different price plan or electricity supplier at your current address.
  • Your service is disconnected for nonpayment and not reconnected before account closure.
  • You voluntarily disconnect service, including due to a move.
Variable Intro Price Program

New customers under this plan will be charged a fixed introductory price of $0.0619 per KWH for the first month. After that, the service shifts to thestandard month-to-month variable rate. Unless canceled, your plan automatically renews after 12 months at the current variable rate. No termination fee applies if you cancel at any time.

The price excludes applicable taxes and EDU charges, which are billed by the utility. Additional switching fees may apply per the utility’s tariff. If U.S. Power Supply LLC reduces the rate due to market changes, they may do so without customer consent, as long as other contract terms remain unchanged.

20% Rebate

After 12 consecutive months of service, customers will receive a rebate equal to 20% of their average monthly energy supply usage. This rebate applies only to supply charges and excludes all distribution-related charges and fees from the local utility.

III-2. Term

Under the Default Price Plan, U.S. Power Supply LLC will provide electricity on a month-to-month basis beginning the first month your service is confirmed by Toledo Edison.

For the Variable Intro Rate and Fixed Price programs, service begins after utility confirmation and at the next billing cycle. U.S. Power Supply LLC supplies the commodity portion of your electricity while Toledo Edison remains your Electric Distribution Utility (EDU).

U.S. Power Supply LLC will notify Toledo Edison within 3 business days of enrollment to initiate the switch. Due to market volatility, U.S. Power Supply LLC reserves the right to rescind or deny enrollment at any time prior to the start of service.

Rescission & Cancellation Rights
  • New Customers: May rescind without penalty by:
    • Contacting the EDU within 7 calendar days of the postmarked confirmation notice (Rescission Period), or
    • Contacting U.S. Power Supply LLC within 30 days of enrollment (Cancellation Period).
  • Existing Customers: Will not receive a confirmation notice but may rescind and return to their prior agreement without penalty.

Either party may cancel this Agreement without penalty by giving at least 30 days' notice. If cancellation occurs after the EDU deadline, you may receive service for an additional month(s) at the current variable rate.

If you switch providers or return to EDU service, a switching fee may apply based on EDU tariffs. EDU may charge a rate other than the regulated sales service rate.

U.S. Power Supply LLC may terminate your service with 14 days’ written notice if you fail to pay your bill or meet payment arrangements. Service will also terminate if:

  • You move out of the service area,
  • You’re no longer located within a U.S. Power Supply LLC service area, or
  • You are returned to Toledo Edison for contract non-compliance.

You have the right to terminate service without penalty if you relocate or as otherwise outlined in this agreement.

III-3. Contracts

U.S. Power Supply LLC generally does not require a written contract for electricity supply service. However, by selecting a service plan, you agree to remain on the plan for the specified term and to maintain your account in good standing. For more details, refer to Section III-2: Term.

III-4. Account and Billing Information

You are responsible for providing Toledo Edison with accurate and up-to-date account information, including your phone number and billing address. Any changes must be promptly reported to Toledo Edison.

U.S. Power Supply LLC is not responsible for late charges due to billing issues caused by incorrect customer information. Your social security number and account number will not be released without your affirmative written consent, in compliance with O.A.C. rule 4901:1-21-10.

III-5. Changes to Terms and Conditions

U.S. Power Supply LLC reserves the right to modify these Terms and Conditions at any time. You will be notified of any changes through a bill insert or separate mailing. At that time, you may choose to terminate your contract without penalty or fees.

III-6. Extraordinary Events

If an event beyond our control occurs — such as an act of God, severe weather, war, civil unrest, grid failure, or operational issues with Toledo Edison or PJM — U.S. Power Supply LLC's obligations under these T&Cs will be suspended during the event. Under these circumstances, we may choose to discontinue service immediately without notice.

III-7. Limitation of Liability

U.S. Power Supply LLC is not liable for any damages or losses caused by policies or actions of Toledo Edison or the interstate pipeline systems. This includes service interruptions, terminations, or system defects. We are also not liable for consequential, exemplary, or punitive damages.

III-8. Call Monitoring Policy

Calls to our Customer Care Center may be monitored or recorded for quality assurance. All new service calls are recorded in accordance with PUCO guidelines.

If your complaint is not resolved after you have called U.S. Power Supply LLC and/or your electric utility, or for general utility information, residential and business customers may contact the Public Utilities Commission of Ohio (PUCO) for assistance at 1-800-686-7826 (toll free) from eight a.m. to five p.m. weekdays, or at http://www.puco.ohio.gov. Hearing or speech impaired customers may contact the PUCO via 7-1-1 (Ohio relay service). Residential customers may call the Ohio consumers' counsel (OCC) toll free at 1-877-742-5622 from eight thirty a.m. to five thirty p.m. weekdays, or visit the OCC website at www.pickocc.org or as otherwise specified by the OCC.

Note: Whenever the Public Utilities Commission of Ohio enacts new rules prior to the publication of revised U.S. Power Supply LLC Terms and Conditions, those rules will supersede this statement.

In addition, from time to time U.S. Power Supply LLC may introduce new price plans or other programs that require amendments to these Terms and Conditions of Service. In such instances, you will be sent the revisions in advance of their effective date. The revised T&Cs may differ from or supplement this statement and will govern in the event of a conflict with this statement. In some instances, C&I customers may have written agreements with U.S. Power Supply LLC that provide for specific terms of service. In the event of a conflict with these T&Cs, those specific terms will govern.
